1. Who we are
Dialed Sales is operated by Garrett Hanson, a sole proprietor based in Nova Scotia, Canada (the "Service Provider", "we", "us"). By creating an account or using the Dialed Sales web application (the "Service") you ("you", "the user") agree to these Terms & Conditions. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.
2. The Service
Dialed Sales is a software-as-a-service tool for door-knocking and field sales teams to log calls, track outcomes, manage follow-ups, and review leaderboards and call history. The Service is provided on an "as-is" and "as-available" basis. We do not guarantee uninterrupted or error-free operation.
3. Accounts and acceptable use
You agree to:
- Provide accurate registration information and keep it up to date.
- Keep your login credentials confidential and accept responsibility for all activity under your account.
- Be of legal age in your jurisdiction to enter into this agreement.
You must not, and must not allow any third party to:
- Use the Service for any unlawful, fraudulent, harassing, or abusive purpose.
- Upload viruses, malware, or content that infringes intellectual-property or privacy rights.
- Probe, scan, scrape, reverse-engineer, decompile, or interfere with the security or integrity of the Service.
- Resell, sublicense, or redistribute the Service without our written permission.
- Use the Service to call, message, or contact individuals in violation of applicable consumer-protection, telemarketing, or anti-spam laws (including Canada's CASL and the US TCPA).
4. Intellectual property
All software, code, designs, branding, documentation, and other materials that make up the Service are owned by Garrett Hanson and protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your own internal business purposes for the duration of your subscription. All rights not expressly granted are reserved.
5. Your data
You retain ownership of the call records, customer information, and other data you enter into the Service ("Your Data"). You grant us a limited license to host, store, and process Your Data solely to provide and improve the Service. You are responsible for ensuring you have the right to collect, store, and process the personal information of the individuals you log calls about.
6. Payments, billing, and subscriptions
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. By purchasing a subscription you also agree to Paddle's Checkout / Buyer Terms, which govern payment, billing, tax collection, currency, invoicing, and refund mechanics.
Subscriptions renew automatically at the end of each billing period (monthly) until cancelled. You may cancel at any time from within the Service or by contacting Paddle; cancellation takes effect at the end of the then-current paid period and you retain access until that date. Fees already paid are non-refundable except as set out in our Refund Policy.
7. Suspension and termination
We may suspend or terminate your access to the Service, with or without notice, if you: (a) materially breach these Terms, (b) fail to pay fees when due, (c) pose a security or fraud risk, or (d) repeatedly or seriously violate our acceptable-use rules or applicable law. On termination, your right to use the Service ends immediately. You may export Your Data for 30 days after termination, after which it may be permanently deleted.
8. Disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the amount you paid us in the twelve (12) months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or loss of goodwill. Nothing in these Terms excludes liability that cannot be excluded by law (including for fraud or personal injury).
10. Indemnity
You agree to indemnify and hold us harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising out of Your Data, your use of the Service, or your breach of these Terms or any applicable law.
11. Changes to the Service or these Terms
We may modify the Service or these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days in advance where reasonably practical. Continued use of the Service after changes take effect constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The courts of Nova Scotia have exclusive jurisdiction over any dispute arising from or relating to these Terms, except where prohibited by applicable consumer-protection law in your country of residence.
13. Force majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, strikes, internet or telecommunications outages, or governmental action.
